1. Acceptance of These Terms
By accessing or using impradel.com (the "Site") or any tool, form, or service offered on it, including our vCRIO Risk Intelligence Diagnostic, you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site.
2. What This Site Offers
Impradel Inc. ("Impradel," "we," "us," or "our") provides information about our virtual Chief Risk Intelligence Officer (vCRIO) and virtual Chief Information Security Officer (vCISO) advisory services, along with tools including a self-service risk diagnostic, and mechanisms to contact us or request an engagement.
Using this Site, submitting the diagnostic, or completing a contact or sign-up form does not, by itself, create a client, advisory, or professional services relationship with Impradel. A formal engagement begins only upon execution of a separate, signed agreement between you (or your organization) and Impradel, setting out the specific scope, terms, and fees for that engagement.
3. The Free Diagnostic Tool
Our vCRIO Risk Intelligence Diagnostic is a self-assessment tool intended to give you a general, preliminary indication of your organization's risk posture based on the answers you provide.
The diagnostic is not a substitute for a professional risk assessment, security audit, legal review, or compliance certification. Results are based solely on the information you enter, are not independently verified by Impradel, and should not be relied upon as a comprehensive or authoritative statement of your organization's actual risk exposure or regulatory compliance status. Decisions with material consequences for your organization should be made only after a full, scoped professional engagement.
4. Intellectual Property
All content on this Site, including text, graphics, logos, the Impradel name and Lattice Shield mark, diagnostic questions and scoring methodology, and any reports generated through it, is the property of Impradel Inc. or its licensors and is protected by Canadian and international intellectual property law.
You may view and use this content for your own personal or internal business reference. You may not reproduce, distribute, modify, or create derivative works from any part of this Site or its content for commercial purposes without our prior written consent.
Any report generated for you through the diagnostic tool is provided for your own internal use and may be shared within your organization, but may not be republished, resold, or represented as an official third-party certification.
5. Accuracy of Information You Provide
You are responsible for the accuracy of any information you submit to us, including through the diagnostic, contact form, or engagement sign-up forms. Impradel is not responsible for outcomes resulting from inaccurate, incomplete, or misleading information provided by you.
6. No Warranty
This Site and its tools are provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or completely secure.
7. Limitation of Liability
To the fullest extent permitted by law, Impradel Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of, or inability to use, this Site or its tools, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Canadian law, including liability for gross negligence or willful misconduct.
8. Third-Party Links and Services
This Site may link to or integrate with third-party services (such as our scheduling provider). We are not responsible for the content, privacy practices, or terms of any third-party service, and your use of them is governed by their own terms.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
10. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
